Terms & Conditions

These Terms & Conditions ("Terms") constitute a legally binding agreement between you (the "User") and Steward Healthcare India Pvt. Ltd. ("Steward"), governing your use of the Steward Learning Cloud platform (the "Platform"). By accessing or using the Platform, you accept these Terms.

Applicable statutes:

  • Indian Contract Act, 1872
  • Information Technology Act, 2000
  • Consumer Protection Act, 2019 and the Consumer Protection (E-Commerce) Rules, 2020
  • Digital Personal Data Protection Act, 2023
  • Goods and Services Tax Act, 2017

1. Eligibility

You must be at least 18 years old and legally competent to contract under the Indian Contract Act, 1872. If registering on behalf of an organization, you warrant that you have authority to bind that organization.

2. Account

  • You are responsible for maintaining the confidentiality of your login credentials.
  • You must promptly notify us of any unauthorized access.
  • One account per person. Sharing credentials is a material breach and may result in immediate suspension.

3. Subscription & Payment

  • All fees are quoted in Indian Rupees (INR) exclusive of GST unless stated otherwise.
  • Payments are processed by Razorpay. By transacting you also agree to Razorpay's terms.
  • Failure to pay within the invoice due date may result in suspension of access without further notice.

4. Course Content & Certificates

  • Courses are prepared by Steward or its licensed content partners.
  • Certificates issued by Steward are for professional development and do not substitute mandatory statutory registrations (e.g., MCI/NMC/NCV licences).
  • Steward reserves the right to update course content to reflect regulatory changes.

5. Acceptable Use

You agree not to:

  • Reproduce, distribute or resell any part of the Platform without written permission;
  • Use the Platform for any unlawful or fraudulent purpose;
  • Attempt to gain unauthorized access, probe, scan or test vulnerabilities;
  • Upload malicious code or content that infringes third-party rights.

6. Intellectual Property

All content, logos, videos, question banks and software on the Platform are the exclusive property of Steward or its licensors. No licence is granted except the limited right to use the Platform for its intended purpose.

7. Third-Party Services

The Platform integrates with third-party services (Razorpay, Emergent Object Storage, SMTP providers, WhatsApp, etc.). Steward is not liable for outages or acts of such third parties.

8. Disclaimer of Warranty

The Platform is provided on an "as-is" and "as-available" basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability and fitness for a particular purpose.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Steward's aggregate liability arising out of or in connection with the Platform shall not exceed the fees paid by you in the twelve (12) months preceding the claim. Steward is not liable for indirect, consequential or punitive damages.

10. Indemnity

You agree to indemnify Steward against any loss, damages or expense (including reasonable attorney's fees) arising out of (a) your breach of these Terms, (b) your violation of any law, or (c) your infringement of a third party's rights.

11. Suspension & Termination

Steward may suspend or terminate your access:

  • For material breach of these Terms;
  • Non-payment of fees;
  • On lawful direction of a competent authority;
  • On written request from your organization's administrator.

12. Grievance & Dispute Resolution

  • Disputes shall be attempted to be resolved through good-faith negotiation for 30 days.
  • Unresolved disputes shall be referred to arbitration at Panipat, Haryana under the Arbitration and Conciliation Act, 1996 (as amended). The arbitration shall be conducted by a sole arbitrator in English.
  • Subject to arbitration, courts at Panipat, Haryana shall have exclusive jurisdiction.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of India.

14. Amendments

Steward may amend these Terms with 15 days' prior notice by email or an in-app banner. Continued use after the effective date constitutes acceptance.
